1. Agreement to Terms

By accessing or using Unpaid ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Unpaid is an automated invoice reminder service that:

  • Connects to your accounting software (Xero, QuickBooks) to sync invoice data
  • Uses AI to generate professional, personalized payment reminder emails
  • Sends automated reminders on your behalf according to your configured schedule
  • Tracks email engagement and payment status
  • Provides analytics and reporting on your accounts receivable

3. Account Registration

To use Unpaid, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use

You agree NOT to use Unpaid to:

  • Send spam or unsolicited commercial emails
  • Harass, threaten, or intimidate any person
  • Collect debts in violation of applicable laws (FDCPA, etc.)
  • Send false, misleading, or deceptive communications
  • Impersonate any person or entity
  • Violate any applicable laws or regulations
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to any systems
  • Use the Service for any illegal purpose

5. Your Responsibilities

As a user of Unpaid, you are responsible for:

  • Email Compliance: Ensuring your use complies with CAN-SPAM, GDPR, CASL, and other applicable email laws
  • Customer Relationships: Maintaining appropriate relationships with your customers
  • Data Accuracy: Ensuring the accuracy of invoice and customer data
  • Review and Approval: Reviewing AI-generated content before it is sent
  • Unsubscribe Requests: Honoring customer unsubscribe requests
  • Debt Collection Laws: If you operate in the US, ensuring compliance with the Fair Debt Collection Practices Act (FDCPA) and state laws

6. AI-Generated Content

Unpaid uses AI (Claude by Anthropic) to generate email content. By using this feature, you acknowledge:

  • AI-generated content is provided as a starting point and should be reviewed
  • You are ultimately responsible for all content sent from your account
  • AI may occasionally produce unexpected or inappropriate content
  • We implement safety measures but cannot guarantee perfection
  • You should review and approve emails before sending, especially for new customers

7. Third-Party Integrations

Unpaid integrates with third-party services (Xero, QuickBooks, Stripe, SendGrid/Resend). By using these integrations:

  • You authorize us to access your data from these services
  • You agree to those services' terms and privacy policies
  • You understand we are not responsible for third-party service availability or changes
  • You can revoke access at any time through your Unpaid settings or the third-party service

8. Subscription and Payments

Unpaid offers subscription-based pricing:

  • Free Trial: 14-day trial with full features, no credit card required
  • Billing: Subscriptions are billed monthly or annually in advance
  • Cancellation: You may cancel at any time; access continues until the end of the billing period
  • Refunds: We do not offer refunds for partial billing periods
  • Price Changes: We will provide 30 days notice of any price increases

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Unpaid and are protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to your data, including invoice data, customer information, and customized email templates. By using the Service, you grant us a license to use your data solely to provide and improve the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • WARRANTIES REGARDING EMAIL DELIVERABILITY OR OPEN RATES
  • WARRANTIES THAT AI-GENERATED CONTENT WILL BE APPROPRIATE OR EFFECTIVE
  • WARRANTIES THAT USE OF THE SERVICE WILL RESULT IN PAYMENT COLLECTION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNPAID SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damage to customer relationships resulting from use of the Service
  • Any claims arising from AI-generated content
  • Third-party service outages or failures

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Unpaid, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws; or (d) your infringement of any third-party rights.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of subscription fees
  • At our sole discretion

Upon termination, your right to use the Service will cease immediately. You may export your data before termination using our export feature.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
